Terms of Service

These terms apply when you use eastendgrowth.com or buy lead services from Gooderham Ventures Inc. ("we" or "us"). By using the site or our services, you agree to them. If you have a separate written agreement with us, that agreement takes priority wherever the two differ.
Our services
- Pay per lead. We route calls and form requests from our local websites to your business, and you pay for each qualified lead at the rate we agree for your trade and area.
- Retainer. You pay one flat monthly rate, and every call and form request from your assigned website goes to you.
Website builds and other projects are covered by their own written agreement.
What counts as a qualified lead
A qualified lead is a phone call that lasts longer than 30 seconds, or a completed form request. Wrong numbers, spam and robocalls don't count. Calls are recorded so either of us can check what was billed.
Exclusive leads
A lead we deliver to you goes only to you. We never resell it or pass it to another business afterward.
Billing and payment
We bill through Stripe, by invoice or subscription. Retainers are billed monthly in advance. Pay per lead is billed for the qualified leads delivered, on the schedule shown on your invoice. If a payment is overdue, we may pause lead delivery until it's paid.
Cancelling
- Pay per lead: there's no contract and no minimum. You can stop any time, and you pay only for qualified leads already delivered.
- Retainer: month to month. Cancel any time before your next billing date, and your service runs until the end of the month you've paid for.
Refunds and lead credits
If you think a billed lead didn't qualify, tell us within 7 days of receiving it. We'll review the recording and credit the lead if it didn't meet the definition above. Retainer payments aren't refunded once the month has started.
Your responsibilities
- Answer and follow up on leads promptly
- Keep the business details you give us accurate
- Hold any licenses and insurance your trade requires
- Follow the laws that apply to how you contact and handle leads, including privacy, calling and texting rules
- Don't resell or share the leads we deliver
No guarantees on volume
Lead volume changes with season, demand and search results. We have no control over changes to search engine policies or algorithms, and our websites may lose rankings or be removed from search results at the search engine's sole discretion. We aren't liable for actions taken by any search engine.
Limits on liability
Our total liability to you is limited to what you paid us in the month before the claim. We aren't liable for lost profits, lost business or other indirect damages. We rely on services we don't control, such as phone carriers, Cloudflare, Google and Stripe, and we aren't responsible for their outages or changes.
Disputes
If either of us has a dispute, we'll explain it to the other in writing and discuss it in good faith within 7 days. If it isn't resolved within 30 business days, it will be settled by binding arbitration before a single arbitrator, held by video or in Toronto, Ontario. The arbitrator's decision is final.
Governing law
These terms follow the laws of the Province of Ontario, Canada.
Changes to these terms
We may update these terms from time to time. We'll post the new version here with a new date, and changes apply from that date forward.
